Tawasoa Factoring LLC announced a summary of the resolutions adopted by its Board of Directors during the meeting held on December 17, 2025, reflecting the company’s strategic direction toward strengthening its capital base, supporting expansion plans, and enhancing its administrative and governance framework in line with market requirements.
These decisions come as part of the company’s broader strategy to reinforce its financial position, expand its factoring activities, and achieve sustainable growth, while maintaining full compliance with Egypt’s regulatory and supervisory frameworks.
Approval of Capital Increase Rationale and Disclosure Procedures
The Board unanimously approved the reasons and justifications for increasing the company’s issued and paid-up capital, underscoring management’s commitment to securing additional financial resources to support operational growth and capitalize on emerging opportunities in Egypt’s factoring market.
In this context, the Board also approved the Disclosure Report form in accordance with Article (48) of the Egyptian Exchange Listing and Delisting Rules, related to proceeding with the capital increase. The resolution included authorizing the Chairman or Managing Director to complete all legal procedures required for obtaining approval from the Financial Regulatory Authority (FRA), make any amendments requested by the Authority, and sign the Board meeting minutes and all related documents for official approval.
Proposed Capital Increase via Rights Issue
As a key resolution, the Board unanimously agreed to submit a proposal to the Extraordinary General Assembly to increase the company’s issued and paid-up capital from EGP 75 million to EGP 115 million, representing an increase of EGP 40 million.
The increase will be executed through a cash capital increase, financed by inviting existing shareholders to subscribe to the new shares in proportion to their ownership prior to the increase. The transaction will involve the issuance of 40 million new shares, each with a nominal value of EGP 1 per share, with the subscription rights traded separately from the original shares, in accordance with applicable regulations.
Calling the Extraordinary General Assembly
The Board also approved calling the Extraordinary General Assembly meeting to consider the proposed capital increase through a rights issue to existing shareholders. The Chairman of the Board was authorized to issue the invitation, determine the agenda items, and set the date and venue of the meeting, following the approval of the Article (48) Disclosure Report by the Financial Regulatory Authority.
New Executive Appointments to Enhance Management Structure
In line with strengthening the company’s executive and operational capabilities, the Board unanimously approved the appointment of Mr. Mahmoud Nabil Fouad Zaki as Chief Financial Officer, supporting financial planning, oversight, and performance efficiency.
The Board also approved the appointment of Ms. Fatma Moussa Ali Mohamed as Investor Relations Officer, enhancing communication with shareholders and meeting disclosure and transparency requirements, as well as the appointment of Ms. Dalia Mohamed Sayed Mohamed as Credit Manager, reinforcing credit risk management and credit policy development.
Reorganization of Compliance and AML Oversight
As part of governance and compliance restructuring, the Board unanimously approved the termination of the temporary assignment of the Head of Internal Audit overseeing Anti-Money Laundering and Counter-Terrorism Financing (AML/CTF), following the successful completion of the assigned role based on his expertise during the previous period.
Legal Authorization for Regulatory Procedures
The Board further approved granting authorization to a group of lawyers from Adsiro – Ragy Soliman & Partners Law Firm, acting jointly or individually, to represent the company before the Financial Regulatory Authority and the Egyptian Exchange. This includes submitting, receiving, and completing all documents related to the approval of the disclosure report, finalizing legal procedures for ratifying the Board meeting minutes, approving them before the General Authority for Investment and Free Zones (GAFI), and implementing any amendments required by regulatory authorities.
Strategic Direction for Sustainable Growth
The Board’s resolutions reflect Tawasoa Factoring’s clear strategic focus on enhancing capital adequacy, strengthening its management and governance structures, and ensuring regulatory compliance. These steps are expected to support the company’s expansion plans, reinforce investor confidence, and consolidate its position within Egypt’s growing factoring sector in the coming period.
